Terms of Service
Last updated November 2, 2026
1. Acceptance of These Terms
These Terms of Service (the "Terms") form a binding agreement between you ("you") and See Right Enterprises, LLC., a California Limited Liability Company ("CostSorter," "we," "us"), governing your access to and use of CostSorter, consisting of a marketing site at costsorter.com and the application itself, embedded there and also reachable at its own address, together with any related documentation or support (together, the "Service").
By accessing or using the Service you accept these Terms. If you do not accept them, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
Sections 13 and 14 disclaim warranties and limit our liability to you, and Section 16 requires you to raise a dispute with us informally before filing suit. Please read them carefully.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is not directed to children, and we do not knowingly permit anyone under 13 to use it.
The Service is offered to residents of the United States only. We do not offer, direct, or market the Service to residents of the European Economic Area, the United Kingdom, or Switzerland, and we make no representation that the Service is appropriate or available for use outside the United States. If you access the Service from elsewhere, you do so on your own initiative and are responsible for compliance with your local law.
You may not use the Service if you are barred from doing so under the laws of the United States, including if you appear on any U.S. government restricted-party or sanctions list.
3. The Service
CostSorter is a self-service organizational tool. You supply transaction records — typically by importing a file you obtained from your own bank, card issuer, or accounting software — and the Service reads the description, memo, payee, and amount fields and proposes a spending category for each record. You may accept, reject, or change any proposed category.
Four characteristics of the Service are material to these Terms, and you acknowledge each:
- Processing is local. Categorization runs entirely in your browser, and may use an on-device model. Your transaction records are not transmitted to our servers as part of normal operation. We describe this in detail in our Privacy Policy.
- Storage is local. Your imported data and categorizations persist in your own browser's storage on your own device. We do not hold a copy and cannot recover your data for you.
- We do not connect to your financial accounts. The Service does not link to, authenticate against, initiate transactions with, or retrieve data from any bank, card issuer, or payment network. You are responsible for obtaining your own transaction data.
- Advertising is separated from the application by design. Advertising appears only on the marketing site, never inside the application itself. This isn't a policy we ask you to trust; your browser enforces it as a security boundary between the two, the same way it prevents any two unrelated websites from reading each other's content.
We may modify, suspend, or discontinue any part of the Service at any time. Because your data lives on your device, discontinuation of the Service does not delete your data, but it may leave you without software capable of reading it.
4. No Financial, Investment, Tax, or Legal Advice
THE SERVICE IS PROVIDED FOR INFORMATIONAL AND ORGANIZATIONAL PURPOSES ONLY. NOTHING THE SERVICE PRODUCES — INCLUDING ANY CATEGORY, LABEL, TOTAL, SUMMARY, CHART, TREND, PROJECTION, ALERT, OR OTHER OUTPUT — CONSTITUTES FINANCIAL, INVESTMENT, ACCOUNTING, TAX, OR LEGAL ADVICE, OR A RECOMMENDATION, SOLICITATION, OR ENDORSEMENT TO BUY, SELL, OR HOLD ANY SECURITY OR OTHER ASSET, TO ENTER INTO ANY TRANSACTION, OR TO ADOPT ANY FINANCIAL STRATEGY.
No output of the Service is personalized to your circumstances, objectives, risk tolerance, or needs, and none should be construed as such. The Service does not evaluate the suitability of any course of action for you. You are solely responsible for your own financial decisions and should consult a licensed financial adviser, certified public accountant, tax professional, or attorney before acting on anything you see in the Service.
The Service is a bookkeeping aid, not a system of record. It is not a substitute for your bank statements, card statements, or accounting records, and it is not designed or represented as adequate for preparing a tax return, supporting a tax position, satisfying a books-and-records obligation, or responding to an audit or examination. If you use Service output for any of those purposes, you do so at your own risk and must independently verify every figure against your source records.
5. No Fiduciary or Advisory Relationship
Your use of the Service creates no fiduciary, advisory, agency, trust, or confidential relationship between you and us. We owe you no duty of care, loyalty, or best execution with respect to your financial affairs.
We are not, and do not hold ourselves out as, an investment adviser registered under the Investment Advisers Act of 1940 or any state analogue, a broker or dealer registered under the Securities Exchange Act of 1934, a bank, a credit union, a money transmitter, a money services business, a lender, a credit counselor, a debt management or debt settlement provider, a tax return preparer, a certified public accountant, an insurance producer, or a consumer reporting agency as defined in the Fair Credit Reporting Act. We do not furnish information to consumer reporting agencies, hold client funds or securities, or exercise discretion over any account.
6. Automated Categorization; Accuracy and Verification
Categories are generated automatically — by matching merchant names against a list that ships with the Service, and, where one is present, by an on-device statistical model that infers meaning from short, abbreviated, and frequently ambiguous text such as merchant descriptors and memo lines. Automated output is approximate and will be wrong some of the time. It may misclassify a transaction, apply an inconsistent category to similar transactions, misread a descriptor, or produce a category that is plainly inapplicable.
We make no representation or warranty that any category, calculation, total, or other output is accurate, complete, current, consistent, or fit for any particular purpose. We do not guarantee any level of accuracy, and any accuracy figure we may publish is an aggregate estimate, not a commitment as to your data.
You are responsible for reviewing and verifying all output before relying on it. You further acknowledge that the Service reads only the fields present in the records you import; it cannot detect transactions you did not import, errors in your source file, duplicate records, or fraudulent charges, and it performs no reconciliation against your actual account balances.
7. Your Data
As between you and us, you own the transaction records and other content you import into the Service ("Your Data"). Because Your Data is processed and stored on your device, we do not acquire a copy of it in the ordinary course, and we therefore take no license in Your Data beyond the technical operations your browser performs locally at your direction.
You represent that you have the right to import Your Data and that doing so does not violate any agreement with your financial institution, any third party's rights, or any applicable law.
You are solely responsible for Your Data, including for backing it up. We cannot restore Your Data. Clearing your browser data, using private browsing, uninstalling the app, switching browsers or devices, or a device failure may delete Your Data permanently. Export regularly if the data matters to you.
8. License to Use the Service
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own personal or internal business purposes. All rights not expressly granted are reserved.
9. Acceptable Use
You will not, and will not permit anyone else to:
- reverse engineer, decompile, or disassemble the Service, or extract, copy, or redistribute our category taxonomy, keyword lists, or any other proprietary component of the Service, except to the extent this restriction is unenforceable under applicable law;
- use the Service or its output to train, fine-tune, evaluate, or develop any machine learning model or competing product;
- scrape, crawl, or use any automated means to access the Service, or circumvent any rate limit, access control, or technical protection measure;
- generate invalid advertising activity, including automated, repeated, incentivized, or otherwise artificial impressions or clicks on advertisements displayed in the Service;
- import data you are not authorized to possess, or use the Service to process another person's financial data without their consent;
- use the Service for any unlawful purpose, including money laundering, tax evasion, structuring, fraud, or sanctions evasion;
- misrepresent Service output as verified, audited, professionally prepared, or as advice from a licensed professional; or
- interfere with the integrity or performance of the Service, or attempt to gain unauthorized access to it or to any related system.
We may investigate and take any action we consider appropriate for a suspected violation, including suspending or terminating your access.
10. Intellectual Property
The Service, including all software, models, category taxonomies, interfaces, text, graphics, and the CostSorter name and logo, is owned by us or our licensors and is protected by copyright, trademark, trade secret, and other laws. These Terms grant you no rights in our trademarks or branding.
All other trademarks, service marks, and trade names referenced in the Service are the property of their respective owners. Their appearance does not indicate any affiliation with, sponsorship by, or endorsement of the Service by those owners.
If you send us feedback, suggestions, or bug reports, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or attribution to you.
11. Third-Party Data and Services
The files you import originate with your financial institution, not with us. We do not control and are not responsible for the accuracy, completeness, formatting, or availability of those files, and a change in your institution's export format may cause import errors or degraded categorization.
The Service may link to or rely on third-party services (for example, hosting, content delivery, and advertising). Your use of a third party's service is governed by that third party's terms and privacy policy, not ours.
12. Advertising
The Service is provided free of charge. There is no paid tier, no subscription, and no free trial. We support the Service through advertising.
Advertising. Our marketing site displays advertisements served by third-party advertising partners. Our advertising is contextual — matched to the page you're viewing, not to you, your identity, or your activity on other sites. Advertising never appears inside the application itself. We do not control, review, endorse, or assume responsibility for any advertisement, for the products or services advertised, or for the practices of any advertiser. Any dealing you have with an advertiser is solely between you and that advertiser.
Advertising partners never receive your transaction data. Your imported records, categories, and totals live entirely within the application, which carries no advertising code and shares no data with the marketing site around it. Advertising partners may collect information about your device and browsing activity on the marketing site itself, as described in Section 11 of our Privacy Policy, which also explains how to opt out.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT CATEGORIZATIONS OR CALCULATIONS WILL BE ACCURATE OR COMPLETE, OR THAT DATA STORED ON YOUR DEVICE WILL BE PRESERVED OR RECOVERABLE.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, GOODWILL, OR DATA, OR FOR ANY TAX PENALTY, INTEREST, ASSESSMENT, AUDIT COST, OVERDRAFT OR OTHER BANK FEE, MISSED PAYMENT, INVESTMENT LOSS, OR OTHER FINANCIAL LOSS ARISING FROM OR RELATING TO YOUR USE OF OR RELIANCE ON THE SERVICE OR ITS OUTPUT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). You acknowledge that the Service is provided to you free of charge, that we receive no fee from you, and that this limitation reflects that fact and is a reasonable allocation of risk in a free service.
These limits apply even if a limited remedy fails of its essential purpose, and they reflect an agreed allocation of risk that is an essential basis of the bargain between us. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud, gross negligence, or willful misconduct. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
15. Indemnification
You will indemnify, defend, and hold harmless CostSorter and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms, (b) your misuse of the Service, (c) Your Data or your lack of rights in it, (d) your violation of applicable law or of any third party's rights, or (e) any decision you or a third party made in reliance on Service output. We may assume exclusive defense and control of any matter subject to indemnification, at your expense, and you will cooperate with us.
16. Dispute Resolution
Talk to us first. Before filing any claim, you agree to contact us at costsorter@gmail.com with a written description of the dispute and the relief you seek, and to negotiate in good faith for sixty (60) days. This step is a condition precedent to filing suit, and the applicable limitations period is tolled while it runs.
Courts. If we cannot resolve the dispute informally, it will be resolved in the courts identified in Section 17. Either party may instead bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court at any time to protect intellectual property or to stop unauthorized access to the Service.
Individual claims. To the fullest extent permitted by applicable law, each party agrees to bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. If a court holds this paragraph unenforceable as to any claim, that claim proceeds on whatever basis the court permits, and the remainder of these Terms stays in force.
Time limit. To the extent permitted by applicable law, any claim arising out of or relating to the Service must be filed within one (1) year after the claim arises, or it is permanently barred.
Government agencies. Nothing in these Terms prevents you from filing a complaint with, or seeking relief from, any government agency or regulator.
17. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Subject to the small claims and injunctive relief exceptions in Section 16, the state and federal courts located in Orange County, California have exclusive jurisdiction, and each party consents to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Consumers resident outside the United States retain the benefit of any mandatory protections of their local law.
18. Term, Termination, and Changes
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without cause. Sections 4 through 7 and 10 through 20 survive termination.
We may modify these Terms. We will post the updated Terms with a new "Last updated" date and, for material changes, give at least thirty (30) days' notice through the Service or by email where we have your address. Continued use after the effective date constitutes acceptance. If you do not accept, stop using the Service.
19. General
Entire agreement. These Terms are the entire agreement between you and us regarding your use of the Service and supersede all prior understandings. Our Privacy Policy describes how we handle information; it is a notice to you rather than a contractual term, and it is not incorporated into these Terms.
Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the remainder stays in effect.
No waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
Notices. We may give notice through the Service or to the email address you provide. Legal notices to us go to c/o Legalinc Registered Agents, Inc., 500 N. Brand Blvd. Suite 890, Glendale, CA 91203.
Export and government users. You will comply with applicable export control and sanctions laws. The Service is "commercial computer software" under FAR 12.212 and DFARS 227.7202.
Relationship. No partnership, joint venture, employment, or agency relationship is created. There are no third-party beneficiaries except as expressly stated.
